Job Description
Join a leading construction company as a Senior Corporate and Securities Counsel, reporting directly to the General Counsel. This high-impact role partners across departments to lead compliance, support public company reporting, manage corporate governance, and advise on executive compensation, finance transactions, and more.
Key Responsibilities:
- Lead compliance initiatives and corporate governance matters
- Prepare and review SEC filings and investor communications
- Support board and executive leadership on governance and compensation
- Draft and negotiate contracts and transactional documents
- Collaborate with HR on equity and benefit plans
- Supervise paralegals and manage legal workflows
What We're Looking For:
- 5+ years of corporate and securities law experience
- Strong contract drafting and negotiation skills
- Proven ability to manage multiple priorities and stakeholders
- Juris Doctorate and bar admission in at least one U.S. state
- Must be based in or willing to relocate to the Nashville area (hybrid work model)
