Position Summary:

As the VP, Corporate Counsel, you will play a pivotal role in the legal team, reporting directly to the Chief Legal Officer. You will lead the Corporate, Supply Chain & Procurement Legal Center of Excellence, overseeing corporate governance, transactions, compliance, and IPO readiness. Your expertise in securities and corporate law, particularly in a pre-IPO environment, will be crucial. You will also provide strategic legal support for the supply chain and procurement functions.

Key Responsibilities:

Corporate Governance

• Develop and maintain corporate governance policies, ensuring compliance with U.S. and global regulations.
• Advise the Board of Directors and senior management on best practices and emerging trends.
• Prepare materials for Board and committee meetings, including agendas, minutes, and resolutions.

Pre-IPO Activities

• Lead legal preparation for the IPO, including drafting registration statements and SEC filings.
• Collaborate with external counsel, underwriters, and auditors for timely document submission.
• Advise on securities law compliance and investor communications.
• Implement public company governance policies and train on compliance processes.
• Manage the transition to a public entity and ongoing compliance with securities laws.

Corporate Structure, M&A, and Financing

• Optimize corporate structure across jurisdictions in collaboration with tax and finance teams.
• Manage subsidiary records and ensure proper maintenance.
• Lead legal aspects of M&A, equity, and debt financing transactions.
• Support capital raising activities and ensure regulatory compliance.
• Oversee equity compensation programs and Section 16 reporting.

Supply Chain and Procurement Support

• Provide legal guidance to supply chain and procurement teams.
• Manage and develop attorneys supporting these functions.
• Ensure compliance with relevant laws and regulations.
• Advise on risk management and mitigation strategies.
• Collaborate to optimize legal processes and support business objectives.

General Legal Support

• Provide legal advice on a broad range of corporate matters.
• Monitor compliance with corporate policies and procedures.
• Guide risk management strategies related to governance, financing, insurance, and IPO activities.
• Manage relationships with external counsel efficiently.

Qualifications:

• Juris Doctor (JD) from an accredited law school; active bar membership.
• 15+ years of experience in corporate law at a leading law firm and in-house, focusing on governance, securities law, financing, and IPO preparation.
• Experience in supply chain and procurement legal support.
• Significant pre-IPO or public company experience.
• Knowledge of securities laws, SEC regulations, and capital markets.
• Proven ability to advise senior management and Boards on governance and financing.
• Strong negotiation, drafting, and communication skills.
• Ability to manage complex projects and work under pressure.
• Strategic and creative problem-solving skills.

Compensation:

Pay Range: $250,000 - $340,000 per year plus 40% bonus and LTI . The total rewards package includes health insurance, life and disability insurance, 401(k) retirement plan, paid holidays, and PTO.
